These Terms and Conditions ("Terms") govern access to and use of Harmoniq. "SYNCDEV", "Harmoniq", "we" and "us" mean SYNCDEV S.R.L. "Customer", "the company" and "you" mean the professional customer identified during signup or in an order form. "User" means any person to whom the Customer gives access to its company account (employees, managers, administrators).
1. Business-only service and authority#
Harmoniq is offered to businesses and professionals acting for purposes related to their trade, business or profession, to manage their own organisation, their own staff and their relationships with their own customers. It is not offered as a consumer subscription.
By accepting these Terms, you confirm that:
- you are at least 18 years old;
- the Customer is a validly established professional or business;
- the information supplied is accurate;
- you have authority to bind the Customer; and
- the service will be used for professional activity.
If you intended to contract as a consumer outside any trade or profession, do not create a company account; contact us first. Nothing in these Terms removes a mandatory right that legally applies despite the business purpose represented at signup.
2. Electronic contracting#
The online contract is formed when you:
- enter the requested account and company information;
- choose the trial or an available plan;
- review and correct the data before submission;
- actively accept these Terms and the Data Processing Agreement and acknowledge the Privacy Policy;
- expressly and separately accept the clauses listed in Section 30;
- verify the supplied email address; and
- receive account activation or we begin providing the requested service.
Before submission, the interface allows you to review and correct entered data. We store the accepted Terms version, acceptance time and contract/account record. You may save or print these Terms.
The contract may be concluded in Romanian or in English, the languages in which we make the complete Terms and signup flow available. Both versions have the same content; in case of inconsistency, the Romanian version prevails, unless an order form or mandatory law expressly selects another version.
We send material contract notices to the registered email address of the account Owner or through an in-service durable notice. Keep contact details current.
The contract (the "Agreement") consists of these Terms, the selected plan/order information, the Data Processing Agreement ("DPA", https://harmoniq.ro/en/legal/dpa), and any written order form or addendum. An individually agreed order form prevails over these Terms for the same subject. The DPA prevails for processing Customer Personal Data.
SYNCDEV does not currently subscribe to a sector code of conduct for the contracting process.
3. The Harmoniq service#
Harmoniq is a multi-tenant software-as-a-service platform for human resources and performance, intended for companies, in particular those operating across several sites or units. Each company works in its own account, separate from the others, at an address of the form company-name.harmoniq.ro or, on the Enterprise plan, on its own domain. Depending on the selected plan and configuration, the service may provide:
- staff and organisation records (units, departments, positions, teams, custom fields), user accounts, roles, permissions, delegations and deputies, approvals;
- leave and absences, working days and calendar;
- performance: indicators (KPIs), formulas, scorecards, scores per period, levels, bonus rules, evaluation grids, objectives and signals for managers;
- learning: courses, tests, enrolments and certificates;
- internal communication (Social): company feed, announcements with read confirmation, groups, kudos, polls, events, photo albums, profiles and direct messages;
- documents with expiry alerts, requests (services, materials), occupational health and safety (SSM) records, internal audits and action plans, photo reporting, anonymous surveys, knowledge base;
- CRM: the Customer's own customers (individuals and organisations), deals, activities, feedback and complaints, marketing consents;
- reports and exports, notifications (in-app, email, web push and, optionally, SMS), the company API (Enterprise plan);
- the AI assistant, only after the company switches it on (Section 14).
The current description of the plans, modules and limits of each plan is available at https://harmoniq.ro/en/pricing.
Harmoniq is a software tool. It is not:
- the Customer's employer, representative or agent in its relationship with its employees, candidates or customers;
- a payroll service, HR consultant, tax adviser, accountant, lawyer, occupational medicine or health and safety service, or public authority;
- a decision-maker: scores, bonuses, signals and suggestions are calculated or proposed from the Customer's rules and data, and decisions belong to the Customer; or
- a guarantee that the Customer's records, contracts, evaluations, staff decisions, documents or data processing comply with law.
Content entered by the Customer is internal to its company. Harmoniq does not publish Customer content to the public and does not offer a marketplace or catalogue between companies. SYNCDEV charges no commission on the Customer's business.
4. Accounts, users and security#
Customer must:
- provide and maintain accurate account, company and billing details;
- appoint only authorised users, each with their own individual account;
- assign the least permissions needed for each role and set the reach (the people and units) each manager sees;
- protect passwords, two-factor authentication methods, API keys and integration credentials;
- promptly remove access for users who no longer need it (for example, when an employment contract ends);
- notify dpa@harmoniq.ro promptly of suspected unauthorised access or a personal-data incident; and
- remain responsible for activities performed through its accounts, except to the extent caused by SYNCDEV's breach.
The company account always has at least one user with the "Owner" role, who controls invitations, roles and permissions and who cannot be removed while they are the only one. The Customer may make two-factor authentication mandatory for its users. Customer is responsible for its personnel and for ensuring that its account use complies with these Terms.
The seats included in the plan are taken by active employees who have a sign-in account. The Customer is responsible for keeping the number of seats in line with actual use (Section 6).
5. Support access and signing in as a user#
SYNCDEV's platform team accesses a company's account only where needed for support requested by the Customer, security, billing, compliance or service administration, in accordance with the DPA. For support, an authorised team member may sign in as one of the Customer's users ("impersonation"). Such a visit is time-limited, shown on screen by a banner and recorded in the company's activity log.
Within the company, authorised managers may sign in as people in their reach, only if their role allows it and only as people who hold no more rights than they do. The Customer decides who receives this permission and informs its users about it.
While someone is signed in as another person, certain actions are refused because they are reserved to the person themselves: accepting legal documents, exporting and closing the company account, subscriptions, API keys, one's own password, email address and two-factor authentication, data erasure, answering surveys and reading direct messages.
6. Trial, plans, seats and limits#
The standard self-service trial is currently 30 days, includes every module and does not require a payment card. At expiry, a grace period (currently seven days) applies, after which an account for which no paid plan has been chosen moves to the free plan. Trial expiry does not delete data.
One trial is granted per email address, company email domain and company identification number. To apply this rule, we keep a cryptographic fingerprint (HMAC) of these data for 24 months, as described in the Privacy Policy (https://harmoniq.ro/en/legal/privacy). We may refuse a new trial that would circumvent this rule.
Plan features, limits and prices are those shown at the point of purchase or in the order form. Each plan includes a number of seats and an amount of storage. Extra seats, extra storage packs (25 GB each) and extra modules may be bought as monthly add-ons or, for annual subscriptions paid by bank transfer, for the paid period (Section 7). When all seats are taken, only actions that would take a new seat are refused; when storage is full, uploading new files stops.
The free plan includes a limited number of active users, the modules shown on the pricing page and a reduced amount of storage; it includes neither the AI assistant nor any add-ons (seats, storage or modules). If, on moving to the free plan, the account has more active users than the plan includes, the existing accounts keep working, but no new account can be created until the number of active users is back under the limit or the Customer chooses a paid plan. We may change what the free plan includes on reasonable notice.
Where usage exceeds the limits of a lower plan, Harmoniq may make the modules or features not included in the plan unavailable. A downgrade, trial expiry or non-payment does not automatically delete Customer Data. Data created with an unavailable module is kept and becomes accessible again when the account again has sufficient entitlement, subject to these Terms.
Trial features may be changed or withdrawn on reasonable notice. Paid plan changes are governed by Sections 7 and 22.
7. Fees, taxes, billing and renewal#
Prices are stated in euro (EUR). Invoices and proformas are issued in Romanian lei (RON), at the exchange rate communicated by the National Bank of Romania on the day before the document's date, which is stated on the document. Paid subscriptions are billed in advance monthly or annually, as selected; annual payment, in advance, benefits from the discount shown at the time of the order. Unless the pricing page, checkout or order form expressly states that VAT is included, displayed prices exclude VAT and other applicable taxes.
For Harmoniq's invoices: Customers in Romania are charged Romanian VAT at the statutory rate; Customers in other EU Member States with a VAT number valid in the VIES system are invoiced under the reverse charge; for Customers outside the EU, the service is outside the scope of Romanian VAT. If a Customer in another Member State has no valid VAT number confirmed through VIES, Romanian VAT applies. The invoice states the VAT treatment applied.
Payment is made:
- by card, through our payment service provider, Stripe, for monthly or annual subscriptions, in euro. You authorise Stripe to charge the selected payment method for recurring fees, taxes and authorised add-ons until the subscription is cancelled; the corresponding fiscal invoice is issued in lei, at the BNR rate above; or
- by bank transfer, for annual subscriptions, if the Customer's billing details are complete and the company identification number has been verified. We issue a proforma invoice in lei (the euro prices converted at the BNR rate of the day before the order) with the amount, the bank account and the payment reference, which the Customer states in the transfer. The amount due is the lei amount on the proforma; the fiscal invoice is issued for the same amount. The subscription applies once we confirm receipt of the full amount; we then issue the fiscal invoice. For a renewal we issue a new proforma at least 30 days before the end of the paid period. A proforma not paid by its due date expires; if the paid period ends without the renewal being paid, the account moves to the free plan after the grace period.
The two methods are not used at the same time for the same account. You must provide correct billing and fiscal information, including a valid VAT number where you are registered for VAT.
Subscriptions renew automatically for periods equal to the selected billing period unless cancelled before renewal. The billing interface or order form states the renewal price then applicable.
Upgrades apply immediately and are charged on a prorated basis. Downgrades and cancellations take effect at the end of the paid period, so the existing entitlement remains available until then. Unless mandatory law or an order form says otherwise:
- prepaid fees are non-refundable, including for partial periods;
- cancelling stops future renewal but does not retroactively cancel a paid period; and
- there is no consumer withdrawal right for a subscription purchased for business purposes.
For subscriptions paid by bank transfer, additions during the paid period (a higher plan, seats, storage or modules) are charged for the remaining whole months and apply once the payment is confirmed; reductions take effect at renewal.
SYNCDEV issues fiscal subscription invoices through SmartBill, which sends them to the national RO e-Factura system, in accordance with the applicable Romanian e-invoicing rules. Payment-provider receipts are not a substitute for a fiscal invoice where the law requires one.
We may change prices for future billing periods on at least 30 days' prior notice, sent by email and in the app. The new price applies from the first renewal after the notice period ends; until then you may cancel the renewal.
Prices displayed on the website in a currency other than euro are indicative estimates, at the BNR rate stated. The amount due is the amount on the invoice or proforma: in euro when paying by card, in lei when paying by bank transfer. Bank, payment-provider and exchange charges not imposed by SYNCDEV are Customer's responsibility.
8. Failed payments#
If a payment fails, Stripe may retry collection and request authentication or an updated payment method. During this grace period, the account stays on its existing plan. If payment remains overdue, we may restrict or downgrade the account and recover undisputed amounts and lawful recovery costs.
Final payment failure ends the paid subscription and moves the account to the free plan. Data is handled under Sections 6 and 21 and is not deleted because of non-payment.
9. Customer's responsibilities as employer and data controller#
Customer is solely responsible for operating its business lawfully and for the data it enters into Harmoniq. For the personal data of its employees, users, candidates, visitors and customers, the Customer is the controller and SYNCDEV is the processor acting on the Customer's behalf under the DPA. The Customer is responsible in particular for:
- having a lawful basis for each processing operation and informing employees and other data subjects about the use of Harmoniq, including performance evaluation, the calculation of scores and bonuses, signals, managers signing in as them, and the AI assistant;
- processing the Romanian personal numeric code (CNP) only under Article 4 of Law no. 190/2018 and employment law; in Harmoniq, the CNP is encrypted and shown in full only to users to whom the Customer grants the special permission;
- processing health data (medical leave types and attached certificates, occupational medicine results in SSM records) only to the extent the law allows, in particular Article 9(2)(b) GDPR, and restricting access to it through roles; the Customer decides whether to record such data;
- ensuring meaningful human review before any decision producing legal or similarly significant effects on a person (for example pay, bonuses, sanctions, promotion or termination of employment) and complying with Article 22 GDPR; Harmoniq takes no such decision (Section 15);
- carrying out a data protection impact assessment (DPIA) where required; performance evaluation, health data and the CNP make one likely, and SYNCDEV provides the information needed under Article 28(3)(f) GDPR and the DPA;
- setting retention periods, requesting erasure or anonymisation of former employees' data and answering data subjects' requests, using the tools Harmoniq provides (per-person export, anonymisation, consent history);
- for the CRM module: the lawful basis for its own customers' data, consent for marketing communications and those persons' rights;
- respecting the anonymity of anonymous surveys: Harmoniq does not link answers to respondents' identities, but the content of a text answer may identify its author, and the Customer must not try to identify respondents;
- complying with employment law, occupational health and safety law, tax and accounting law, and its own internal rules;
- the formulas, bonus rules, evaluation grids, leave types, calendars and settings it configures, including where it starts from templates, examples or suggestions provided by Harmoniq; and
- the accuracy and timely review of every record, calculation, score, suggestion and generated document.
Harmoniq's features are recordkeeping and decision-support tools. Customer must obtain professional legal, HR, tax, accounting or occupational health and safety advice where needed.
10. Acceptable use and Customer Content#
"Customer Content" means data, text, images, documents, messages, formulas, code, files and other material submitted or published in Harmoniq by Customer or its users.
Customer must not use Harmoniq to:
- break the law or another person's rights;
- unlawfully discriminate against, harass or unlawfully monitor employees or other persons;
- upload malware or attempt unauthorised access, vulnerability testing without our written consent, scraping, disruption or circumvention of limits;
- attempt to access another company's data or to bypass security and separation measures between companies;
- send spam or unlawful commercial communications;
- publish defamatory, discriminatory, fraudulent, deceptive, infringing or illegal content;
- process special-category, criminal-offence or children's data without a lawful basis and all required safeguards;
- reverse engineer, copy or resell the service except where mandatory law permits or we agree in writing;
- overload the service through automated tasks outside the documented API;
- share accounts, passwords or API keys in a way that defeats security; or
- use scores, signals, the AI assistant or other automated features for prohibited decisions or to generate unlawful content.
Customer represents that it has the rights and lawful basis needed for Customer Content and for the instructions it gives SYNCDEV.
11. Internal content, reports and restrictions#
Customer Content is visible only within its company account, to the people to whom the Customer gives access. Moderation of internal communication (the Social feed, groups, comments) belongs to the Customer, through the users it grants that right. Direct messages can be read only by their participants; the Customer's moderators see a message only if it is reported to them, and messages are deleted according to the retention period set by the Customer.
SYNCDEV may investigate, restrict visibility of, disable access to or remove specific Customer Content where it reasonably believes the content:
- is illegal or subject to a binding authority/court order;
- creates a credible safety, cybersecurity or fraud risk;
- infringes intellectual-property or privacy rights;
- violates these Terms; or
- exposes SYNCDEV, another customer or third parties to material harm or liability.
Measures should be targeted and proportionate. Where required and legally permitted, we will give Customer a statement of reasons identifying the affected content, the contractual/legal ground, the measure and available challenge route.
Anyone may report to hello@harmoniq.ro content hosted in Harmoniq that they consider illegal, or an abuse of the service. A useful notice should include:
- information locating the content (the company, page or URL);
- a reasoned explanation of why the content is illegal or abusive;
- the notifier's name and email address, except where law allows an anonymous notice; and
- a good-faith statement that the information is accurate and complete.
We will acknowledge and assess sufficiently precise notices in a timely, diligent and objective manner. Where a notice concerns a company's internal content, we may pass it to that Customer to resolve. We do not undertake a general monitoring obligation.
12. Data access#
Customer has access, subject to permissions and plan functionality, to the data it and its users provide to its company account and to the results calculated for it. Customer has no access to another company's personal, commercial or generated data, including in aggregated identifiable form.
SYNCDEV accesses Customer Data only as needed to provide, secure, support and administer the service, comply with law and enforce the Agreement, in accordance with the DPA.
We may use irreversibly anonymised or properly aggregated statistics that do not identify a person or disclose a company's confidential information to operate, secure and understand the service.
We do not provide Customer Data to third parties for their advertising and do not sell it. Data is disclosed to subprocessors and integrations as described in the DPA, the Subprocessor Register (https://harmoniq.ro/en/legal/subprocessors) and the Privacy Policy.
SYNCDEV imposes no exclusivity on the Customer: the Customer may use other services in parallel and may take its data at any time by export or through the API (Sections 16 and 21).
After the contract, access and export are governed by Section 21 and the DPA. SYNCDEV retains no right to use deleted Customer Content except residual lawful, isolated retention and anonymised statistics.
13. Third-party services and integrations#
Harmoniq may connect to services selected and contracted by the Customer, such as the Customer's own smslink.ro account for SMS notifications, the Customer's own account with an AI provider (Section 14), the Customer's own domain (Enterprise plan) or the systems the Customer connects through the API.
When Customer enables an integration, Customer instructs us to exchange the data reasonably required for it, using the Customer's credentials. The provider chosen by the Customer acts under its contract with the Customer and is not SYNCDEV's subprocessor. Customer is responsible for:
- reviewing and accepting the provider's terms and data-protection role;
- holding the necessary account, credentials and authorisations;
- configuring the integration lawfully;
- provider fees (including the cost of SMS messages) and transaction charges; and
- checking provider output and status.
Third-party services are outside SYNCDEV's control. We do not warrant their continuous availability, decisions, data or performance. We will not be liable for their independent acts, except to the extent mandatory law or our own breach requires otherwise.
Stripe, used to pay for the Harmoniq subscription, and SmartBill, used to issue invoices and the proformas for payment by bank transfer, are SYNCDEV providers, handled under our Privacy Policy. The company identity check at signup and the retrieval of data from registers use the public services of ANAF (for Romania) and VIES (for EU VAT numbers); exchange rates come from the National Bank of Romania (BNR).
14. The AI assistant#
The AI assistant is available on plans that include it and works only after the company switches it on in its settings. It does not work in demo companies or while someone is signed in as another person. The Customer may switch it off at any time.
The assistant acts for the user who uses it and only within that user's rights and reach: it may look up the data the user can see, summarise, and propose filters, texts, set-ups and changes. A change proposed by the assistant is saved only after the user confirms it, and on confirmation every right is checked again. Messages drafted by the assistant are not sent by Harmoniq; the user decides whether and how to use them.
Before data leaves for the AI provider, people's names, email addresses and phone numbers are replaced with aliases (for example «C1», «P1», «E1», «T1»), and the link to the real people is restored only on our servers. Names of organisations and units, and figures, leave as they are; in free texts (comments, notes), known names are replaced, but the Customer should bear in mind that a free text may contain other information identifying a person. Conversations are kept in the service's temporary cache for 2 hours, then deleted. Use of the assistant is logged as metadata only (who, when, which feature, how many units of text), never the question or the answer. The assistant's safety rules restrict it to the company's data in Harmoniq and may refuse a request.
The assistant answers through one of the following accounts:
- the platform's account, contracted by SYNCDEV with the AI provider named in the Subprocessor Register (currently Anthropic), with a number of requests per calendar month included in the Customer's plan (shown on the pricing page) and a daily safeguard against unusual use; once the month's requests are used up, the assistant stops until the next month starts. The Customer sees its usage in the app. A change of provider is made with the notice set out in the DPA; or
- the Customer's own account with Anthropic, OpenAI or Google, configured with the Customer's key, stored encrypted; in this case, the provider is the Customer's provider, only the contract between the Customer and that provider applies, the costs are the Customer's, and use is not capped by us and never falls back to the platform's account.
AI outputs may be incomplete, outdated or wrong. They are suggestions for human review and are not legal, HR, tax or professional advice. Customer must verify outputs before sending, saving or relying on them. The assistant must not be used as the sole basis for a decision about a person (Section 9). A formula proposed by the assistant is validated by Harmoniq before it can be saved, but the Customer decides whether to use it.
Customer must not enter special-category data, secrets or unnecessary personal data into the assistant. Use of Customer Personal Data with an AI provider is governed by the DPA and the Subprocessor Register. Customer Content may not be used to train a provider's general-purpose model unless Customer separately gives a lawful, informed instruction and the required provider controls are in place.
15. Automated calculations: scores, bonuses and signals#
Harmoniq automatically calculates scores, levels and bonuses from the formulas, weights, thresholds and data set by the Customer, and shows signals for managers (for example, a score falling three periods in a row, overdue training, an expired SSM check). Signals never use medical leave.
So that results can be reproduced, Harmoniq keeps the formula version and the input data used for each calculation, and a published scorecard can no longer be changed. Missing data is not treated as zero, unless the Customer expressly chooses so for a component.
Scores, bonuses and signals are supporting information. Harmoniq takes no decisions about people. The Customer is responsible for the correctness of formulas and data, for checking results and for the human review required by Section 9. SYNCDEV does not warrant that a calculated score or bonus is fit for a particular purpose of the Customer.
16. The company API#
On the Enterprise plan, the Customer may read and write its data through the company API, described in the documentation published on the website. API keys are created by the users to whom the Customer grants that right, carry scopes and may be limited to certain IP addresses; every call is logged. A write through the API is made as the user who created the key and goes through the same checks as in the app. The CNP is not available through the API, and anonymous surveys are available only as totals.
The Customer is responsible for keeping keys safe, revoking compromised keys and the systems it connects. We may apply rate limits to protect the service.
17. Demo companies#
The website offers demo companies with invented data, which visitors may enter with a published password. They are wiped and rebuilt every night. In demo companies no emails are sent, the AI assistant does not work, and actions that would lock out other visitors, reach outside the service or incur costs are refused. Visitors must not enter real data, in particular personal data, and the acceptable-use rules in Section 10 also apply to this use.
18. Intellectual property#
SYNCDEV and its licensors own Harmoniq, its software, design, documentation, trademarks, the templates and help content provided by Harmoniq and all related intellectual-property rights. No ownership transfers to Customer.
For the subscription term, SYNCDEV grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to use Harmoniq for the internal needs of its company, as permitted by its plan and these Terms.
Customer retains ownership of Customer Content, including the formulas and scorecards it creates. Customer grants SYNCDEV a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, adapt for technical formatting, back up and otherwise process Customer Content only to provide, secure, support and improve the contracted service in accordance with the DPA. The licence ends when the data is deleted, except for lawful residual retention and anonymised data.
Customer grants SYNCDEV no right to use its name, logo or testimonials for public marketing without permission.
Feedback voluntarily provided to improve Harmoniq may be used without restriction, provided we do not publicly identify Customer or disclose confidential or personal data.
19. Confidentiality#
Each party must protect the other's non-public business, security and technical information using reasonable care and use it only for the Agreement. Confidentiality does not apply to information that is public without breach, already lawfully known, independently developed or lawfully received from another source.
A party compelled to disclose confidential information will, where legally permitted, give prompt notice and disclose only what is required.
20. Data protection and security#
The Privacy Policy (https://harmoniq.ro/en/legal/privacy) describes SYNCDEV's processing as controller, and the Cookie Policy (https://harmoniq.ro/en/legal/cookies) describes cookies and similar technologies. The DPA (https://harmoniq.ro/en/legal/dpa) governs processing on Customer's behalf and is incorporated into these Terms. The Subprocessor Register is available at https://harmoniq.ro/en/legal/subprocessors.
Data is hosted in the European Economic Area. SYNCDEV will maintain security measures appropriate to risk, described in the DPA. Customer acknowledges its shared responsibilities in Sections 4 and 9.
Neither party will make misleading claims that the service is "GDPR certified", completely secure or automatically makes Customer compliant.
21. Suspension, account closure, export and deletion#
Customer may request a plan downgrade or cancel the subscription through the billing interface, and the account Owner may close the company account.
Suspension or restriction pauses or limits access but preserves data. Cancelling the subscription ends renewal but does not itself mean deletion of data. Closing the account is a separate, clearly confirmed action.
Export. The account Owner may download at any time, from Company → Data and closure, the complete export of the company's data: a single archive containing one CSV file for each table holding the company's data, together with every uploaded file (documents, photos, attachments). The CNP is included in clear, as it is the Customer's data. Secrets (passwords, two-factor codes, tokens, keys) are not included. The Data Export and Switching Register (https://harmoniq.ro/en/legal/switching) describes the structures, formats, identifiers and known technical limitations.
Account closure:
- only an account Owner may do it, in person (not while someone else is signed in as them), confirming with the company's name;
- the subscription is cancelled immediately, without refund of the current period, unless mandatory law provides otherwise;
- for 30 days after closure, the company keeps only access to its export and the option to reopen the account;
- a week before deletion, the Owners receive a warning;
- after the 30 days, all of the company's data is permanently deleted (records, files, custom domains); and
- invoices issued by SYNCDEV (with the Customer's identification details as at the date of issue) are kept for the period required by accounting law, and a deletion record holding only aggregate counts is kept as evidence.
Customer must export required data before deletion. On written request during the exit period, we will also provide reasonable assistance with export and switching to the extent required by applicable law and technically feasible.
Where Regulation (EU) 2023/2854 applies to Harmoniq as a data processing service, the parties will cooperate in good faith on switching, the applicable statutory transition and retrieval periods, security and service continuity. Before 12 January 2027, any reduced switching charge may not exceed SYNCDEV's direct switching costs and must be disclosed in advance; from that date, no switching charge will be imposed where Article 29 of that Regulation applies. Standard self-service exports are not separately charged.
Deletion from encrypted backups occurs through the documented backup cycle (backups older than about 90 days are not kept), not by restoring deleted data to live use. Erasure instructions are reapplied after any restore.
22. Availability, maintenance and changes to the service#
We aim to provide a reliable service but do not promise uninterrupted or error-free operation. Unless an order form includes a service-level agreement, no guaranteed uptime or service credit applies.
We may perform planned maintenance and will give notice where reasonably practical. Emergency maintenance may occur without advance notice.
We may change features to improve security, comply with law, replace a third-party dependency or develop the service. We will not materially reduce the core functionality of a paid plan during its prepaid period without a reasonable substitute, migration option, proportionate credit or termination right, except where immediate action is legally or technically necessary.
23. Warranties and disclaimers#
Each party warrants that it has authority to enter the Agreement.
To the fullest extent permitted by law, and except for an express warranty in an order form, Harmoniq is provided "as is" and "as available". SYNCDEV does not warrant that:
- every feature, integration or third-party service will always be available;
- AI outputs, scores, bonuses or calculations derived from the Customer's formulas and data, or the templates and suggestions provided, are complete, accurate or fit for a particular purpose;
- use of Harmoniq alone satisfies Customer's legal duties, including those as employer or data controller; or
- the service will meet a purpose not documented in the Agreement.
Mandatory statutory warranties remain unaffected.
24. Liability#
Nothing in the Agreement excludes or limits:
- liability for fraud, wilful misconduct or gross negligence where it cannot be limited;
- death or personal injury caused by culpable conduct where it cannot be limited;
- a party's payment obligations;
- infringement/misappropriation of the other party's intellectual property or breach of confidentiality to the extent a limitation is prohibited;
- liability under Article 82 GDPR to the extent it cannot be contractually limited against the affected person; or
- any other liability that mandatory law does not allow to be excluded or limited.
Subject to those exceptions:
- neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or anticipated savings, or loss of data that the other party was responsible for exporting/backing up, unless such loss was reasonably foreseeable and directly caused by the breaching party; and
- SYNCDEV's aggregate liability arising from the Agreement in any rolling 12-month period is limited to the amounts paid or payable by Customer for Harmoniq in that period.
The limitations apply to the maximum extent permitted by Romanian law and will be interpreted narrowly where a standard clause requires express acceptance (Section 30).
Customer will indemnify SYNCDEV against a third-party claim (including one by an employee or customer of the Customer, or by an authority) to the extent caused by Customer's unlawful Customer Content, processing of data without a lawful basis, a decision of the Customer about a person, an instruction or a culpable breach of Sections 9 or 10 by Customer. The indemnity does not apply to the extent the claim was caused by SYNCDEV. SYNCDEV must give prompt notice, allow reasonable control of the defence and not settle an admission or non-monetary obligation for Customer without consent.
25. Restriction or termination by SYNCDEV#
SYNCDEV may restrict or suspend specific content, features or the account for:
- a material or repeated breach of the Agreement;
- overdue undisputed fees;
- unlawful content/activity or a binding authority order;
- a credible security, fraud or safety risk; or
- use that threatens the service, another company's data or another customer.
Except where immediate action is necessary, we will give notice, reasons and a reasonable opportunity to cure. Where Regulation (EU) 2019/1150 applies, we will provide the required statement of reasons on a durable medium. A decision to terminate the whole service will receive at least 30 days' prior statement of reasons where Article 4 of that Regulation requires it, except for its statutory exceptions (including repeated breach, legal obligation or urgent risk). Restriction or suspension does not delete data; on termination, the Customer may export its data under Section 21.
Customer may submit clarifications or a complaint to hello@harmoniq.ro. If a restriction is revoked, we will restore access without undue delay where technically possible.
26. Changes to these Terms#
We will notify Customer on a durable medium (by email to the account Owners and in the app) of material proposed changes at least 30 days before they take effect, and longer where Customer reasonably needs technical or commercial adaptations. Customer is not asked to accept again: if it does not agree, it may terminate the contract before the end of the notice period, by cancelling the subscription or closing the account, without penalty.
The notice period does not apply to editorial changes, changes required immediately by law, or exceptional changes needed to address an unforeseen and imminent fraud, malware, spam, data-breach or cybersecurity risk.
Changes will not apply retroactively unless required by law or expressly agreed. Each published version of the Terms remains available, with its effective date.
27. Complaints#
Customers may submit a complaint free of charge to hello@harmoniq.ro or through the contact form concerning:
- an alleged failure to comply with the Agreement or, where applicable, Regulation (EU) 2019/1150;
- a technical issue materially affecting the Customer; or
- a restriction, suspension or termination decision.
We will assess complaints transparently, proportionately and within a reasonable time. This process does not prevent either party from seeking interim relief, bringing court proceedings or using a mutually agreed independent mediator.
Where Regulation (EU) 2019/1150 applies to the service and SYNCDEV ceases to qualify for an exemption from the mediator-identification requirement in Article 12 of that Regulation, these Terms must be updated to identify at least two mediators before the exemption ceases to apply.
28. Governing law and courts#
The Agreement is governed by Romanian law, excluding conflict-of-law rules.
The parties will first try in good faith to resolve a dispute through the complaint process. Courts with subject-matter jurisdiction at SYNCDEV's registered office in Tulcea, Romania have exclusive jurisdiction, except where mandatory EU or national law grants another forum or a party seeks urgent interim relief.
Nothing in this Section restricts a business user's rights under Regulation (EU) 2019/1150, where it applies, or a data subject's or supervisory authority's rights under the GDPR.
29. General#
Neither party may assign the Agreement without the other's consent, not to be unreasonably withheld, except to an affiliate or successor to substantially all relevant business/assets that assumes the obligations and does not reduce data protection.
SYNCDEV may subcontract service functions subject to the DPA and remains responsible as stated there.
Neither party is liable for delay caused by an event beyond its reasonable control, excluding payment obligations and duties to apply reasonable security/continuity measures.
If a provision is invalid, it is narrowed to the minimum extent necessary and the remainder continues. Failure to exercise a right is not a waiver of it. Headings are for convenience.
Notices concerning breach, termination, data protection or legal claims must be sent by email to the registered account contact and to hello@harmoniq.ro (for data protection, also to dpa@harmoniq.ro), with confirmation or another durable method where appropriate.
30. Clauses expressly accepted#
For the purposes of Article 1203 of the Romanian Civil Code, the Customer declares that it has read, understood and expressly accepts, separately from its acceptance of the Terms as a whole, the clauses in the following sections: Section 6 (the trial, the move to the restricted tier and the unavailability of features beyond the plan), Section 7 (automatic renewal, recurring billing, non-refundability of amounts paid and price changes), Section 8 (restriction or downgrade for non-payment), Section 13 (limitation of liability for third-party services), Section 14 (limitation of liability for AI assistant outputs), Section 15 (limitation of liability for scores, bonuses and signals), Section 21 (permanent deletion of data 30 days after account closure), Section 22 (unilateral changes to the service and no guaranteed availability level), Section 23 (exclusion of warranties), Section 24 (limitation of liability and the indemnity), Section 25 (restriction, suspension and termination by SYNCDEV), Section 26 (unilateral changes to the Terms) and Section 28 (Romanian governing law and exclusive jurisdiction of the courts at SYNCDEV's registered office).
Express acceptance is given through a distinct statement in the signup process or by signing an order form that refers to these clauses, and SYNCDEV keeps a record of it.
